Arris announces warrant agreement with Comcast

ArrisArris International has entered into a warrant agreement with Comcast Cable.
The warrants provide Comcast with the opportunity to acquire ordinary shares of Arris based on specific sales targets for 2016 and 2017.
Arris provides Comcast with a range of technologies for its video (including the X1 platform), high-speed data and voice services, wireless gateways supporting the delivery of Comcast’s fastest in-home WiFi service, and networking and other hardware equipment.

“We believe the warrants demonstrate Comcast’s strong commitment to Arris and its products and represent an opportunity for us to further grow our relationship.”

ARRIS Completes Pace Acquisition

SUWANEE, Ga.Jan. 4, 2016 /PRNewswire/ -- ARRIS International plc (NASDAQ: ARRS), the new parent company of ARRIS Group, Inc., today completed its $2.1B (£1.4B) acquisition of Pace plc – combining the two companies' strengths in entertainment and communications delivery.
The transaction combines the strengths of both companies on a global scale—broadening ARRIS's worldwide CPE leadership with a competitive stake in satellite communications; leveraging new synergies in telco TV; expanding its cloud, network, home, and services portfolio; and increasing its collaboration with the world's leading service providers. In addition to CPE, the combination further establishes ARRIS as a global leader in HFC/Optics, complementing its established CMTS leadership position.
ARRIS acquired Pace with a combination of stock and cash. The newly combined company is incorporated in the U.K., with operational and worldwide headquarters remaining in Suwanee, GA, USA. ARRIS International's shares are listed on the NASDAQ stock exchange under the ticker symbol ARRS. ARRIS shareholders will own approximately 76 percent of the new company, with former Pace shareholders owning the remaining 24 percent. Based on current information, including the closing price for the ARRIS Group shares on January 4, initial analysis indicates that the transaction will not be taxable to U.S. holders of the former ARRIS Group shares. However, final information regarding the aggregate stockholder basis as of the closing of the transaction in the former ARRIS Group shares and applicable earnings and profits will not be available for some time, and the current expectation as to the taxable nature of the transaction may change. ARRIS will communicate and post on the investor relations portion of its web site any changes in the determination, and the final determination will be made and announced by ARRIS following the end of the 2016 tax year.

Arris to give NetCologne Gigabit speeds

Arris hasn’t travelled too far for its first Angacom announcement; the tech company is to supply local telecommunications provider NetCologne with its Touchstone TG2492 product.
NetCologne is looking to take advantage of the Touchstone’s ultrafast broadband speeds of up to 1Gbps and 802.11ac Wi-Fi.
“We’re really looking forward to the enhanced service level we can offer to our customers thanks to our partnership with Arris,” said Volker Kähler, Director Product Management at NetCologne. “The ownership of connected devices at home is growing, and at the same time, we’re seeing video streaming mature. The Arris TG2492 will empower us to roll out the very best service to our customers, which is always our main objective.”
Gigabit speeds is already an emerging theme at this year’s Angacom.

Arris takes control of ActiveVideo

Ziggo-overview-digitale-tvArris Group is to take control of CloudTV developers ActiveVideo. Its established a joint venture company with US cablenet Charter that will acquire ActiveVideo for $135 million.
Arris will own 65% of the new venture.
ActiveVideo’s CloudTV software platform has been used by Liberty Global to expand the reach of user experiences of its Horizon TV platform in Europe and Latin America. The technology virtualises CPE technologies in the cloud. The client base also includes Cablevision, Liberty Global, Deutsche Telekom, Time Warner Cable, J:COM, Philips, and Roku.
ActiveVideo’s platform also powers Charter’s new fully featured, cloud-based Spectrum Guide.

ActiveVideo’s platform powers Charter’s new fully featured, cloud-based Spectrum Guide. Charter expects to launch Spectrum Guide on Worldbox, as well as on legacy boxes currently deployed within the Charter footprint. ActiveVideo’s global base of customers includes: Cablevision, Liberty Global, Deutsche Telekom, Time Warner Cable, J:COM, Philips, and Roku.
It’s been confirmed Jeff Miller will continue to lead ActiveVideo as CEO.
